Terms and Conditions
1. Service Overview
- Scope of Services: We provide no-code AI automation services that integrate APIs from various platforms and language models for workflow automation. Our services are primarily tailored for B2B technology solutions and service providers, although they can be applied across various industries as specified in the project requirements and scope.
2. Client Responsibilities
- Access and Data Provision: The client is responsible for providing access to the platforms and accounts that will be automated, including any required API keys, login credentials, or other necessary resources as specified in the project scope and requirements.
- Approvals: The client must approve the project scope, deliverables, and any outputs produced during the project. The client is also responsible for validating data where necessary to ensure accuracy.
3. Deliverables
- Form of Deliverables: Deliverables typically consist of automated workflows, integrations, or other specified outputs as detailed in the project scope and requirements.
- Post-Deployment Support: We offer onboarding, training, and technical support to ensure that deliverables are fully operational and functional as agreed. Maintenance services can be provided at an additional fee, which includes monitoring and error resolution but does not extend to rebuilding or modifying the delivered automations unless specified otherwise in a new agreement.
4. Payment Structure
- Payment Terms: Payment is typically structured on a project basis, with 50% due at the time of signing and the remaining 50% due upon project completion. Payment terms will be clearly outlined in the project proposal, which may include variations based on the specific agreement with the client.
- Milestones: Final payment is required upon the successful completion of the project, prior to the handover of the automation solution to the client.
5. Intellectual Property
- Ownership: We retain ownership rights to the underlying scripting and automation frameworks developed during the project, allowing for future use and modification. The client will own the specific automations and deliverables created for their project as specified in the project scope.
- Tools and Platforms: All tools and platforms used in the project are commercially available and licensed, with no proprietary tools or platforms being utilized.
6. Confidentiality and Data Security
- Data Handling: All sensitive client data is handled with the utmost care, utilizing secure methods such as encrypted forms for data collection and secure storage within a private, controlled environment. Only authorized personnel working on the project will have access to the client’s data.
- Confidentiality: We maintain strict confidentiality regarding all client information, particularly when integrating third-party tools or platforms. Additional security measures, such as HIPAA compliance, will be implemented if required by the project scope.
7. Limitations of Liability
- Risk and Liability: Our liability is limited to ensuring that the automation functions as per the approved scope and requirements. We are not responsible for any adverse outcomes or errors that occur after the automation is deployed and used by the client. The client assumes all responsibility for the use of the deliverables once handed over.
- Third-Party Tools: While we conduct thorough due diligence in selecting third-party tools for our no-code solutions, we cannot guarantee their future performance and disclaim any liability for issues arising from third-party tools. Our warranty covers the functionality of the automation as specified in the approved scope.
8. Governing Law and Dispute Resolution
- Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, Clark County, where our parent company, LinkedSure LLC, is registered.
- Dispute Resolution: In the event of any dispute arising out of or in connection with this Agreement, the parties agree to first attempt mediation. If mediation fails to resolve the dispute, the parties may proceed to arbitration or litigation, as necessary.
9. Modification and Termination
- Scope Changes: Any requested changes to the project scope or requirements must be communicated in writing and may result in adjustments to the project timeline, pricing, and delivery dates. All changes will be formalized through a change order agreement.
- Termination: Either party may terminate the Agreement if it becomes impossible to complete the project due to unforeseen circumstances, including but not limited to lack of client response, failure to provide necessary access, or failure to meet payment obligations. In the event of termination, the client is responsible for payment for all work completed up to the termination date.
10. Additional Terms
- Promotional Rights: We reserve the right to showcase the work completed for clients in our portfolio or marketing materials, provided that the client’s company name is only disclosed with express permission.
- Third-Party Integrations: As part of our no-code automation services, we rely on third-party integrations. In the event that a third-party tool becomes non-functional or unsupported, we will replace it with an equivalent tool at no additional charge for up to two years after delivery. After two years, any such replacement will be at the client’s expense.
